By accessing and using Shribuilds' services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

• Website maintenance and support

The specific scope of services will be outlined in individual project agreements or contracts entered into between you and Shribuilds.

3. User Responsibilities

As a user of our services, you agree to:

• Provide accurate, current, and complete information during the service engagement
• Maintain the confidentiality of any account credentials provided
• Notify us immediately of any unauthorized use of your account or any security breach
• Be responsible for all activities that occur under your account
• Provide timely feedback and approvals as required for project completion
• Ensure that all content you provide does not violate any third-party rights or applicable laws

4. Intellectual Property Rights

Upon full payment for services rendered, you will own the final deliverables created specifically for you. However:

• Shribuilds retains ownership of any pre-existing intellectual property, tools, frameworks, and methodologies used in the creation of your project
• We reserve the right to display the completed work in our portfolio unless otherwise agreed in writing
• Any open-source or third-party components remain subject to their respective licenses
• Source code developed for your project becomes your property upon final payment, except for proprietary tools and frameworks

5. Payment Terms

Payment terms will be specified in individual project agreements. General payment terms include:

• Deposit requirements as outlined in project proposals
• Milestone-based payments for larger projects
• Final payment due upon project completion
• Late payment fees may apply to overdue invoices
• All prices are in USD unless otherwise specified

Failure to make timely payments may result in suspension of services and withholding of project deliverables until payment is received in full.

6. Project Timeline and Revisions

Project timelines are estimates based on the scope of work agreed upon. Delays may occur due to:

• Delayed feedback or approvals from the client
• Changes in project scope or requirements
• Unavailability of required third-party resources
• Unforeseen technical challenges

Revision rounds will be specified in individual project agreements. Additional revisions beyond the agreed scope may incur additional fees.

7. Warranties and Disclaimers

We strive to deliver high-quality services but make no warranties regarding:

• Uninterrupted or error-free operation of delivered products
• Specific results or outcomes from using our services
• Compatibility with all future technologies or platforms

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHRIBUILDS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or relating to our services shall not exceed the total amount paid by you for the specific services giving rise to the claim.

9. Termination

Either party may terminate a project engagement under the following conditions:

• Written notice of at least 14 days
• Payment for all work completed up to the termination date
• Material breach of these terms by the other party

Upon termination, you will receive all completed work up to the termination date, and any outstanding payments must be settled within 7 days.

10. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the engagement. This obligation continues even after the termination of services. We will not disclose your confidential information to third parties without your prior written consent, except as required by law.

11. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Shribuilds operates, without regard to its conflict of law provisions.

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes may be resolved through binding arbitration or in the courts of competent jurisdiction.
